KCS Announces Pricing of Senior Notes Offering

Kansas City Southern announced today that its wholly-owned subsidiary, Kansas City Southern de México, S.A. de C.V. (“KCSM”), has priced $200 million in aggregate principal amount of 6-1/8% Senior Notes due 2021 (the “Senior Notes”) in a private offering that is exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”). The offering is expected to close on May 20, 2011. KCSM intends to use the net proceeds from the offering, together with cash on hand, to pay the consideration in a tender offer and consent solicitation undertaken by KCSM in respect of its existing 7-5/8% Senior Notes due 2013, to pay the consideration in a tender offer and consent solicitation undertaken by KCSM in respect of its existing 7-3/8% Senior Notes due 2014 and to pay the fees and expenses associated therewith. The remaining net proceeds from this offering, if any, will be used for general corporate purposes, and may be used, among other things, to fund the repurchase, redemption or other acquisition of any existing notes not tendered in such tender offers. Currently, there is approximately $32 million outstanding aggregate principal amount of 7-5/8% Senior Notes due 2013 and approximately $165 million outstanding aggregate principal amount of 7-3/8% Senior Notes due 2014.
