US Airways Group, Inc. (“US Airways” or the “Company”) announced today its intention to make concurrent offerings, subject to market and other conditions, of 15,200,000 shares of common stock and $75 million aggregate principal amount of its convertible senior notes due 2014. US Airways also intends to grant to the underwriters of the common stock and the notes an option to purchase up to an additional 2,280,000 shares of common stock and $11.25 million aggregate principal amount of the notes solely to cover over-allotments, if any. The notes will be general unsecured senior obligations of US Airways, will pay interest semi-annually at a fixed rate and will be convertible at any time prior to the close of business on the second scheduled trading day immediately preceding the maturity date of the notes. Upon conversion, holders of the notes will receive, at the election of US Airways, cash, shares of US Airways’ common stock or a combination of cash and shares. Holders of the notes will have the right to require US Airways to repurchase for cash all or some of their notes upon the occurrence of certain events. The interest rate, conversion rate and other terms of the notes will be determined by negotiations between US Airways and the underwriters. Neither of these offerings is contingent upon the consummation of the other offering.
